Staples Easy Rewards (the “Program”) and to all terms incorporated herein by reference. These Terms do not alter in any way the terms or conditions of any other agreement you may have with Staples (“Staples,” “we,” “our” or “us”) for other products or services. Staples’ primary Terms & Conditions (“Staples Terms and Conditions”) are incorporated herein, and if there is a conflict between the Staples Terms and Conditions and these Staples Easy Rewards Terms, these Staples Easy Rewards Terms will control. Our U.S. Privacy Notice and the accompanying California Privacy Notice are incorporated into these Terms and also govern your participation in Staples Easy Rewards. Please read each of these documents carefully to understand how Staples collects, uses and discloses information about customers, how to update or change your personal information and how we communicate with you. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR PARTICIPATE IN STAPLES EASY REWARDS.
Staples Easy Rewards is a loyalty program sponsored by Staples through which individuals (“Members” or, individually, a “Member” or “You”) will have the opportunity to earn points (“Points”) by making purchases and by taking certain other actions which can then be redeemed. The Program applies to purchases made: in Staples U.S. stores, on the www.staples.com website (the “Website”), in the Staples mobile application (the “App”), by phone at (800) 333-3330, or at Staples via certain third-party online marketplaces (click here for a complete list of participating marketplaces, which may be amended from time to time). Members may also have opportunities to earn Points through other methods as may be added from time to time. To participate, Members must enroll in the Program on the Website, through the App, or in a Staples store.
You agree that we may provide updates, notices, disclosures and amendments to these Terms and other information relating to Staples Easy Rewards by electronic means, including posting such information and materials online at https://staples.com/easy.
1. Eligibility & Enrollment
Eligibility The Program is open to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years old or the age of majority at the time of entry. The Program is not targeted towards, nor intended for use by, anyone under the age of eighteen (18). To enroll in the Program, you must provide your first name, last name, a valid email address, and any other required information requested. Purchases made from Staples Contract & Commercial LLC are not eligible for the Program. Resellers and remanufacturers that purchase goods with the intention of selling the goods to a third party are strictly prohibited from earning and redeeming Points under the Program. The Program is void where prohibited.
Enrollment Customers may enroll in the Program by either of the following methods:Enroll In-Store: Customers may enroll in-store at the Point of Sale by providing their first name, last name, valid email address, and any other required information requested in order to create a Staples account that will automatically include the Program. Customers will then receive an email with a link to complete their account and create a password. Enroll Online or App: Customers may visit the Website or App and follow the instructions to create a Staples account that will automatically include the Program, including providing their first name, last name, valid email address, and any other required information requested; entering a password; and agreeing to these Terms as well as the Staples Terms & Conditions and the Privacy Policy. A Member may only create one (1) Staples Easy Rewards account. Only the individual named on the account (the Member) will be able to earn and redeem Points and access Program account information. Only one Staples account may be created per email address. In the event that a Member creates multiple accounts, Staples will not merge Points into a single account and reserves the right to terminate the additional account(s).
Member’s Account Members are responsible for maintaining the confidentiality of and for restricting access to their account and its password, including responsibility for preventing unauthorized transactions from any device logged in to their account. Members are responsible for all activities they take within their account. Staples’ decision on any aspect of Member’s account, membership status in the Program, Points balance or any aspect of the Program or a particular Member’s participation in the Program shall be final.
2. Earning and Receiving Points Earning Points by Dollars Spent on Qualifying Purchases Members may earn one (1) Point for each $1 spent in a Staples U.S. store, on the Website, through the App, by phone, or at Staples via select third-party online marketplaces (click here for a complete list of participating marketplaces, which may be amended from time to time) on each qualifying purchase, excluding taxes and shipping fees/charges (a “Qualifying Purchase”) for which a membership account is identified at the time of purchase. Points will be earned on the Qualifying Purchase Amount, and will be rounded down to the nearest dollar. Points are only awarded in whole numbers (no fractional Points can be earned). “Qualifying Purchase Amount” means the amount paid at checkout for the Qualifying Purchase after application of all promotions, coupons, instant savings, and Points redemption. Qualifying Purchases made prior to creating a Staples Easy Rewards account and Qualifying Purchases made by a Member without identifying their Staples Easy Rewards membership number at the time of purchase are not eligible to earn Points.
A Qualifying Purchase does not include: gift cards; postage stamps; prepaid phone cards; clearance items; cash; credit remittance; supplemental warranties; protection plans; service plans; subscriptions; promotional products (including without limitation purchases placed on staplespromotionalproducts.com); travel services (including without limitation TSA Precheck services and passport services); notary services; coworking services; direct mail services; large quantity orders (defined as orders involving the provision of special pricing incentives or promotion based on the quantity or value of the product purchased); bottle deposits; donations; recycling fees; or purchases placed on weddings.staples.com, third-party websites (including without limitation third-party websites linked to staples.com) and online marketplaces (except as listed here, as amended from time to time).
Earning Points through Special Offers Staples may also offer bonus Points to Members through special offers. Special offers are available for limited time periods, and not all offers will be available to all Members. Select special offers are not automatically active, so Members must activate these offers to become eligible. With special offers, Members can earn bonus Points on Qualifying Purchases up to a total of $9,999 per special offer. There will be individualized terms and conditions or official rules for each offer which will include how to participate, details of Points available and other limitations or restrictions.
Receiving Your Points Unless otherwise noted, Points for Qualifying Purchases are usually issued within 24-48 hours of an in-store purchase or shipment of an online or phone order but may take up to 30 business days to be issued. Points earned from Qualifying Purchases made at Staples via participating third-party online marketplaces are issued within sixty (60) business days after completion of such purchase. Staples will not be responsible for delays in issuing Points that are beyond its control. Qualifying Purchases and participation in a special offer are subject to verification by Staples before earned Points from a Qualifying Purchase or participation in a special offer are credited to a Member’s account. Points may be used as soon as they are credited, or they may be saved for redemption in Member’s account.
Return of a Qualifying Purchase Points are subject to forfeiture or adjustment if the Qualifying Purchase is returned. When an item is returned and a refund is processed, all Points earned from the purchase of that item will be debited from the Member’s account, including any Points earned through special offers related to the purchase. If there are insufficient Points in the account to cover the debit, the Member’s account will have a negative Points balance. In such cases, Staples reserves the right to reduce the amount of the Member’s refund by an amount commensurate to the negative Points balance.
3. Redeeming Points Points may be redeemed for dollars off the Member’s purchase amount at checkout. Points may only be redeemed for whole dollar amounts, and 200 points provide $1 to redeem toward the purchase (except when a more favorable special offer applies or Staples has modified the Point values for redeeming Points pursuant to these Terms). Members may select the number of Points (in increments of $1 in value) to redeem and apply to their purchase.
Points may not be redeemed for or applied against: taxes; cash; credit remittance; shipping fees/charges; gift cards; postage stamps; prepaid phone cards; supplemental warranties; promotional products (including without limitation purchases placed on staplespromotionalproducts.com); self-serve printing, scanning, and faxing; PC rentals; travel services (including without limitation TSA Precheck services and passport services); notary services; coworking services; direct mail services; large quantity orders (as defined above); purchases placed on staplescustomprinting.btobsource.com, weddings.staples.com and staples.com/services/printing/promotional-products; or purchases placed on third-party websites (including without limitation third-party websites linked to staples.com) and online marketplaces (except as listed here, as amended from time to time).
Members can redeem Points in a Staples U.S. store by: (a) scanning their digital Staples Easy Rewards card located in the App or by providing their phone number at checkout, and (b) providing a valid government issued photo identification card. The name on the valid government issued photo identification card must match the name on the Member’s account. If Member is unable to present a valid government issued photo identification card at checkout, then Member will not be able to redeem their Points. Members can redeem Points via the Website or the App by logging in to their account with their credentials. All redemptions of Points are final, and Points used will be deducted immediately from Member's account. The maximum redemption for a single transaction is Points valued at $49,999.4. Pause or Termination of Member’s Rewards Without limiting any other remedies, Staples may, in its sole discretion, pause or terminate a Member’s participation in the Program as set forth below. Staples shall be the sole arbiter in cases of suspected abuse, violations of these Terms, or improper conduct, and any decision it makes relating to termination of a Member’s account, shall be final and binding.
Pausing of Program Participation A Member’s participation in the Program may be paused for abuse investigation. A Member may continue to earn Points while their account is paused; however, they may not redeem Points unless and until, at Staples’ discretion, their account is returned to active status.
Program Participation Termination A Member’s participation in the Program can be terminated for any of the following reasons: (a) Member requests termination of their participation in the Program or of their Staples account; (b) Member’s account is inactive – meaning no Points have been added to or debited from their account – for eighteen (18) months; (c) Member is deceased; (d) Member fails to respond to repeated attempts by Staples to contact them regarding the status of their account; (e) Member relocates to a jurisdiction outside of the stated eligibility; (f) the account appears to be duplicative; (g) Staples believes or determines, in its sole discretion at any time, that Member has engaged in abusive behavior, improper conduct, conduct that is detrimental to Staples, resale of merchandise, or any other behavior in violation of the letter or intent of these Terms; or (h) as otherwise permitted under these Terms. If a Member’s participation in the Program is terminated, the Member will forfeit all Points accrued to date. In addition, Staples is entitled to invoke any rights or remedies available to Staples in law or equity against Member. You agree that Staples is not liable to you or any third party for any termination or suspension of your account or for blocking your use of the Program.
If, after termination, Member is permitted to re-enroll in the Program, this will require opting into the Program Terms as of the date of the new account. Member will have zero (0) Points at the time of re-enrollment, regardless of how many Points may have been accumulated prior to termination.
5. Points: Value, Removal & Forfeiture No Cash Value or Transferability Points do not constitute property, do not entitle Member to a vested right or interest and have no cash value. As such, Points are not redeemable for cash, transferable or assignable for any reason, and are not transferable upon death, as part of a domestic relations matter or otherwise by operation of law. Unless otherwise permitted or agreed to by Staples in its sole discretion, the sale or transfer of Points is strictly prohibited. For example, Points may not be sold on any secondary market, and any transfer of Points to a secondary market shall be deemed void. Any Points remaining in a Member’s account if the Program is canceled will be forfeited without compensation. There shall be no carry over or transfer of Points to other Staples programs, unless otherwise determined by Staples in its sole and absolute discretion. All Points are only associated with the email address of the account.
Point Awarding Decisions Staples reserves the right to require proof of Points earned, including, but not limited to, physical receipts for Qualified Purchases. Staples reserves the right to delay the redemption of any Points without notice to Members in order to assure compliance with these Terms. Staples’ decisions regarding the awarding of Points shall be final.
Removal of Points Staples reserves the right to remove Points from a Member’s account if it determines that such Points were improperly credited to the Member’s account or were obtained due to abusive or improper conduct or through any technique that violates the intent of these Terms. Points deposited into a Member’s account that are subsequently determined to be invalid for any reason are subject to disqualification and will be removed from the Member’s account.
Accrued Points Viewable in Member’s Account The number of Points earned by each Member will be tracked in the Member’s account which can be viewed in the App or on the Website. Staples shall have no liability for any printing, production, typographical, mechanical or other errors in Points balance summaries or Member’s account.
6. General Terms and Conditions Program Modifications Staples reserves the right to modify, revise or cancel this Program, the Terms or any part of the Program at any time for all participants or for any specific participant without prior notice. For example, Staples reserves the right to change the Qualifying Purchases and/or the number of Points awarded per dollar spent or the other activities described above at any time during the Program. Staples further reserves the right to change, add or remove the methods by which Members can earn Points. Staples reserves the right to modify the Point values for redeeming Points at any time for any reason. If the value for redeeming Points for dollars toward a purchase is reduced – e.g., more Points required for $1 off – Members will receive notice of such change at least 30 days before it is implemented. In the event of a change in control or corporate reorganization, Staples may assign or transfer, in whole or in part, this Program and the rights and/or obligations under the Staples Easy Rewards Terms to any Staples affiliate, parent, or subsidiary, or to any third party that has acquired control of the business or assets of Staples or any such Staples affiliate, parent, or subsidiary.
Notice of Financial Incentive In connection with Staples Easy Rewards, we may offer financial incentives and/or price or service differences (“Incentives”) to Members based on Points earned as further described in these Terms and in exchange for our use of your personal information. To offer these Incentives, we must track the personal information you provide when you sign up for or engage in activities to earn Points, such as name, email address, telephone number, purchase history, participation in special offers, Points redemption activity and engagement with Staples as described in these Terms (“Staples Easy Rewards Data”). The value of Staples Easy Rewards Data is determined by considering, without limitation, the additional spending of Members as compared with individuals who are not yet enrolled in the Program, and any improvements we can make to our products, services, and customer experiences based on aggregating information obtained through the Program. The value of Staples Easy Rewards Data is reasonably related to the costs associated with offering the Incentives. You can join the Program by creating a Staples account and be automatically enrolled in the Program, or, if you already have a Staples account, electing to enroll in the Program. You can withdraw from or cancel your membership in the Program at any time by contacting Customer Services by email at [email protected].
Member’s Personal Information The collection, use and disclosure of Members’ personal information is subject to Staples’ Privacy Notices. Staples’ Communications By signing up for this Program, Members agree to receive transactional email messaging regarding account information, balances and material changes to the Program to the email address associated with Member’s account, as well as advertising and marketing material from Staples. Members may unsubscribe from Staples marketing emails at any time via the unsubscribe link in those emails. If you unsubscribe from marketing communications, you will still receive communications relating to the administration of your account and the Program.
Choice of Law These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws rules. Any Member’s legal action against Staples relating to the Program may only be filed in the state and federal courts of Suffolk County, Massachusetts. If any provision of these Terms is found to be invalid or unenforceable to any extent, then the invalid portion shall be deemed conformed to the minimum requirements of law to the extent possible. In addition, all other provisions of these Terms shall not be affected and shall continue to be valid and enforceable to the fullest extent permitted by law. The Program is void where prohibited by law.
Taxes Members are responsible for the payment of all taxes which may result from participation in the Program.
Entire Agreement These Terms (including any additional terms or policies incorporated by reference) constitute the entire agreement of the parties with respect to the subject matter hereof and supersede all previous written or oral agreements with respect to the Program.
DISCLAIMER The Staples Parties are not responsible for any printing or computer error, omission, interruption, irregularity, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alteration of Program materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or for inaccurate transmission of Program information due to technical problems or traffic congestion on the Internet, at any website or any combination thereof. In the event that online access is temporarily corrupted and suspended, notice of such will be provided on the Website and on the App, if possible, and Members will be advised to not redeem Points until such time as the Program may be resumed as originally intended and as determined by Staples in its sole discretion.
INDEMNITY/LIMITATION OF LIABILITY By participating in the Program, each Member accepts all responsibility for, and hereby releases and agrees to indemnify Staples and its affiliates, and their respective officers, directors, employees, agents, successors, distributors, and third parties providing information or services on the Website (collectively, the “Staples Parties”), for any and all claims, damages, losses, liabilities and causes of action (including expenses and attorneys’ fees) incurred by them arising out of or relating to: (a) their breach or alleged breach of these Terms, or (b) actions taken by them and/or their participation in the Program. Member agrees to cooperate as fully as reasonably required in the defense of any claim. Staples reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by Member.
Member agrees to maintain the security and confidentiality of all login credentials used to access the Program. Member agrees to use a different password than Member uses with any other website or service of any kind. Member shall be solely responsible for any activity that uses Member’s login credentials.
The Program may allow various ways to authenticate and identify Member. Staples recommends that Member utilizes all methods available. Under no circumstances will Staples have any liability for Member’s failure to use any available authentication and identification mechanism.
UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL ANY OF THE STAPLES PARTIES BE LIABLE TO YOU FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR OTHER INDIRECT DAMAGES ARISING OUT OF, RELATING TO, OR IN ANY WAY CONNECTED WITH PARTICIPATION IN THE PROGRAM OR ANY PURCHASED ITEM, EVEN IF ANY OR ALL OF THE FOREGOING OR ANY OF THEIR AUTHORIZED REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS. BY PARTICIPATING IN THE PROGRAM, A MEMBER WAIVES ANY AND ALL RIGHTS TO BRING ANY CLAIM OR ACTION ARISING OUT OF, RELATED TO, OR IN ANY WAY CONNECTED WITH SUCH MATTERS IN ANY FORUM BEYOND ONE (1) YEAR AFTER THE FIRST OCCURRENCE OF THE KIND OF ACT, EVENT, CONDITION OR OMISSION UPON WHICH THE CLAIM OR ACTION IS BASED.
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, IN NO EVENT SHALL THE CUMULATIVE LIABILITY OF ALL OF THE STAPLES PARTIES EXCEED THE LESSER OF THE TOTAL PAYMENTS RECEIVED FROM YOU BY STAPLES DURING THE PRECEDING TWELVE (12) MONTH PERIOD, OR $100.
Comments, Complaints and Questions We welcome your feedback about the Program. However, any comments, ideas, notes, messages, suggestions or other communications sent to Staples about the Program shall be and remain the exclusive property of Staples, and we may use all such communications in any manner, including reproducing, disclosing and publishing such communications, all without compensation to you.

Points may only be redeemed for whole dollar amounts, and 200 points provide $1 to redeem toward the purchase (except when a more favorable special offer applies or Staples has modified the Point values for redeeming Points pursuant to these Terms). Members may select the number of Points (in increments of $1 in value) to redeem and apply to their purchase.
Points may not be redeemed for or applied against: taxes; cash; credit remittance; shipping fees/charges; gift cards; postage stamps; prepaid phone cards; supplemental warranties; promotional products (including without limitation purchases placed on staplespromotionalproducts.com); self-serve printing, scanning, and faxing; PC rentals; travel services (including without limitation TSA Precheck services and passport services); notary services; coworking services; direct mail services; large quantity orders (as defined above); purchases placed on staplescustomprinting.btobsource.com, weddings.staples.com and staples.com/services/printing/promotional-products; or purchases placed on third-party websites (including without limitation third-party websites linked to staples.com) and online marketplaces (except as listed here, as amended from time to time).
Members can redeem Points in a Staples U.S. store by: (a) scanning their digital Staples Easy Rewards card located in the App or by providing their phone number at checkout, and (b) providing a valid government issued photo identification card. The name on the valid government issued photo identification card must match the name on the Member’s account. If Member is unable to present a valid government issued photo identification card at checkout, then Member will not be able to redeem their Points. Members can redeem Points via the Website or the App by logging in to their account with their credentials. All redemptions of Points are final, and Points used will be deducted immediately from Member's account. The maximum redemption for a single transaction is Points valued at $49,999.4. Pause or Termination of Member’s Rewards Without limiting any other remedies, Staples may, in its sole discretion, pause or terminate a Member’s participation in the Program as set forth below. Staples shall be the sole arbiter in cases of suspected abuse, violations of these Terms, or improper conduct, and any decision it makes relating to termination of a Member’s account, shall be final and binding.
Pausing of Program Participation A Member’s participation in the Program may be paused for abuse investigation. A Member may continue to earn Points while their account is paused; however, they may not redeem Points unless and until, at Staples’ discretion, their account is returned to active status.
Program Participation Termination A Member’s participation in the Program can be terminated for any of the following reasons: (a) Member requests termination of their participation in the Program or of their Staples account; (b) Member’s account is inactive – meaning no Points have been added to or debited from their account – for eighteen (18) months; (c) Member is deceased; (d) Member fails to respond to repeated attempts by Staples to contact them regarding the status of their account; (e) Member relocates to a jurisdiction outside of the stated eligibility; (f) the account appears to be duplicative; (g) Staples believes or determines, in its sole discretion at any time, that Member has engaged in abusive behavior, improper conduct, conduct that is detrimental to Staples, resale of merchandise, or any other behavior in violation of the letter or intent of these Terms; or (h) as otherwise permitted under these Terms. If a Member’s participation in the Program is terminated, the Member will forfeit all Points accrued to date. In addition, Staples is entitled to invoke any rights or remedies available to Staples in law or equity against Member. You agree that Staples is not liable to you or any third party for any termination or suspension of your account or for blocking your use of the Program.
If, after termination, Member is permitted to re-enroll in the Program, this will require opting into the Program Terms as of the date of the new account. Member will have zero (0) Points at the time of re-enrollment, regardless of how many Points may have been accumulated prior to termination.
5. Points: Value, Removal & Forfeiture No Cash Value or Transferability Points do not constitute property, do not entitle Member to a vested right or interest and have no cash value. As such, Points are not redeemable for cash, transferable or assignable for any reason, and are not transferable upon death, as part of a domestic relations matter or otherwise by operation of law. Unless otherwise permitted or agreed to by Staples in its sole discretion, the sale or transfer of Points is strictly prohibited. For example, Points may not be sold on any secondary market, and any transfer of Points to a secondary market shall be deemed void. Any Points remaining in a Member’s account if the Program is canceled will be forfeited without compensation. There shall be no carry over or transfer of Points to other Staples programs, unless otherwise determined by Staples in its sole and absolute discretion. All Points are only associated with the email address of the account.
Point Awarding Decisions Staples reserves the right to require proof of Points earned, including, but not limited to, physical receipts for Qualified Purchases. Staples reserves the right to delay the redemption of any Points without notice to Members in order to assure compliance with these Terms. Staples’ decisions regarding the awarding of Points shall be final.
Removal of Points Staples reserves the right to remove Points from a Member’s account if it determines that such Points were improperly credited to the Member’s account or were obtained due to abusive or improper conduct or through any technique that violates the intent of these Terms. Points deposited into a Member’s account that are subsequently determined to be invalid for any reason are subject to disqualification and will be removed from the Member’s account.
Accrued Points Viewable in Member’s Account The number of Points earned by each Member will be tracked in the Member’s account which can be viewed in the App or on the Website. Staples shall have no liability for any printing, production, typographical, mechanical or other errors in Points balance summaries or Member’s account.
6. General Terms and Conditions Program Modifications Staples reserves the right to modify, revise or cancel this Program, the Terms or any part of the Program at any time for all participants or for any specific participant without prior notice. For example, Staples reserves the right to change the Qualifying Purchases and/or the number of Points awarded per dollar spent or the other activities described above at any time during the Program. Staples further reserves the right to change, add or remove the methods by which Members can earn Points. Staples reserves the right to modify the Point values for redeeming Points at any time for any reason. If the value for redeeming Points for dollars toward a purchase is reduced – e.g., more Points required for $1 off – Members will receive notice of such change at least 30 days before it is implemented. In the event of a change in control or corporate reorganization, Staples may assign or transfer, in whole or in part, this Program and the rights and/or obligations under the Staples Easy Rewards Terms to any Staples affiliate, parent, or subsidiary, or to any third party that has acquired control of the business or assets of Staples or any such Staples affiliate, parent, or subsidiary.
Notice of Financial Incentive In connection with Staples Easy Rewards, we may offer financial incentives and/or price or service differences (“Incentives”) to Members based on Points earned as further described in these Terms and in exchange for our use of your personal information. To offer these Incentives, we must track the personal information you provide when you sign up for or engage in activities to earn Points, such as name, email address, telephone number, purchase history, participation in special offers, Points redemption activity and engagement with Staples as described in these Terms (“Staples Easy Rewards Data”). The value of Staples Easy Rewards Data is determined by considering, without limitation, the additional spending of Members as compared with individuals who are not yet enrolled in the Program, and any improvements we can make to our products, services, and customer experiences based on aggregating information obtained through the Program. The value of Staples Easy Rewards Data is reasonably related to the costs associated with offering the Incentives. You can join the Program by creating a Staples account and be automatically enrolled in the Program, or, if you already have a Staples account, electing to enroll in the Program. You can withdraw from or cancel your membership in the Program at any time by contacting Customer Services by email at [email protected].
Member’s Personal Information The collection, use and disclosure of Members’ personal information is subject to Staples’ Privacy Notices. Staples’ Communications By signing up for this Program, Members agree to receive transactional email messaging regarding account information, balances and material changes to the Program to the email address associated with Member’s account, as well as advertising and marketing material from Staples. Members may unsubscribe from Staples marketing emails at any time via the unsubscribe link in those emails. If you unsubscribe from marketing communications, you will still receive communications relating to the administration of your account and the Program.
Choice of Law These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws rules. Any Member’s legal action against Staples relating to the Program may only be filed in the state and federal courts of Suffolk County, Massachusetts. If any provision of these Terms is found to be invalid or unenforceable to any extent, then the invalid portion shall be deemed conformed to the minimum requirements of law to the extent possible. In addition, all other provisions of these Terms shall not be affected and shall continue to be valid and enforceable to the fullest extent permitted by law. The Program is void where prohibited by law.
Taxes Members are responsible for the payment of all taxes which may result from participation in the Program.
Entire Agreement These Terms (including any additional terms or policies incorporated by reference) constitute the entire agreement of the parties with respect to the subject matter hereof and supersede all previous written or oral agreements with respect to the Program.
DISCLAIMER The Staples Parties are not responsible for any printing or computer error, omission, interruption, irregularity, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alteration of Program materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or for inaccurate transmission of Program information due to technical problems or traffic congestion on the Internet, at any website or any combination thereof. In the event that online access is temporarily corrupted and suspended, notice of such will be provided on the Website and on the App, if possible, and Members will be advised to not redeem Points until such time as the Program may be resumed as originally intended and as determined by Staples in its sole discretion.
INDEMNITY/LIMITATION OF LIABILITY By participating in the Program, each Member accepts all responsibility for, and hereby releases and agrees to indemnify Staples and its affiliates, and their respective officers, directors, employees, agents, successors, distributors, and third parties providing information or services on the Website (collectively, the “Staples Parties”), for any and all claims, damages, losses, liabilities and causes of action (including expenses and attorneys’ fees) incurred by them arising out of or relating to: (a) their breach or alleged breach of these Terms, or (b) actions taken by them and/or their participation in the Program. Member agrees to cooperate as fully as reasonably required in the defense of any claim. Staples reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by Member.
Member agrees to maintain the security and confidentiality of all login credentials used to access the Program. Member agrees to use a different password than Member uses with any other website or service of any kind. Member shall be solely responsible for any activity that uses Member’s login credentials.
The Program may allow various ways to authenticate and identify Member. Staples recommends that Member utilizes all methods available. Under no circumstances will Staples have any liability for Member’s failure to use any available authentication and identification mechanism.
UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL ANY OF THE STAPLES PARTIES BE LIABLE TO YOU FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR OTHER INDIRECT DAMAGES ARISING OUT OF, RELATING TO, OR IN ANY WAY CONNECTED WITH PARTICIPATION IN THE PROGRAM OR ANY PURCHASED ITEM, EVEN IF ANY OR ALL OF THE FOREGOING OR ANY OF THEIR AUTHORIZED REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS. BY PARTICIPATING IN THE PROGRAM, A MEMBER WAIVES ANY AND ALL RIGHTS TO BRING ANY CLAIM OR ACTION ARISING OUT OF, RELATED TO, OR IN ANY WAY CONNECTED WITH SUCH MATTERS IN ANY FORUM BEYOND ONE (1) YEAR AFTER THE FIRST OCCURRENCE OF THE KIND OF ACT, EVENT, CONDITION OR OMISSION UPON WHICH THE CLAIM OR ACTION IS BASED.
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, IN NO EVENT SHALL THE CUMULATIVE LIABILITY OF ALL OF THE STAPLES PARTIES EXCEED THE LESSER OF THE TOTAL PAYMENTS RECEIVED FROM YOU BY STAPLES DURING THE PRECEDING TWELVE (12) MONTH PERIOD, OR $100.
