OPEN ONLY TO LEGAL RESIDENTS OF THE 48 CONTINENTAL U.S. & D.C. WHO ARE 18 YEARS OF AGE AND OLDER AS OF DATE OF ENTRY. VOID WHERE PROHIBITED.
1. HOW TO ENTER: The Staples Small Business Week Giveaway (“Giveaway”) begins at 12:00 A.M. Eastern Time (“ET”) on May 20, 2012 and ends at 11:59 P.M. ET on May 26, 2012 (“Giveaway Period”). There are two (2) ways to enter:
1. To enter via Facebook®, visit the official Staples Facebook Fan page at www.facebook.com/Staples (“Website”), “Like” Staples (if you have not done so already), click on the Giveaway banner, allow access to the application and complete all required fields on the entry form including completing your nomination for a Small Business (as defined below) (in 50 words or less) to receive one (1) entry into the Giveaway. If you do not have a Facebook account, and you would like to create one for free, visit www.facebook.com.
2. To enter via Twitter, you must follow Staples on Twitter (@Staples) and tweet your small business nomination (in 140 characters or less) and include the hashtag #SmBizGiveaway and @Staples in your tweet (“Tweet”) to receive one (1) entry into the Giveaway. A mutual following is suggested to facilitate awarding of the prizes. If you do not have a Twitter account, and you would like to create one for free, visit www.Twitter.com.
Prizes will be awarded to the Small Businesses (as defined below) nominated on the entry and not the individual entrant. All Tweets/entries must be submitted by 11:59 P.M. ET on May 26, 2012 to be eligible. Small Business Definition: For purposes of this Giveaway, a small business is defined as: a privately owned corporation, partnership, LLC or sole proprietorship; a for-profit or not for-profit business; having less than 50 employees; and must not be a franchise. In the event of a dispute, entrant may be required to show proof of being the authorized account holder of the email address/Twitter account associated with an entry. By entering, you understand and agree that your entry may (in Sponsor’s sole discretion) be posted online on the Website or Twitter, or other Sponsor-selected sites, for consumers to view. The 50 word (or 140 character) entry will not be judged on its content; winners are selected randomly from all eligible entries received. An entry may not contain obscene, lewd or inappropriate text including references to sex, nudity, acts of violence or acts that may cause harm, as determined in Sponsor’s sole discretion. Any entry or portion thereof that is, in the Sponsor’s sole discretion, obscene, profane, lewd, defamatory, contains any third party materials, or otherwise violates or infringes (or may infringe) any copyright, trademark, logo, mark that identifies a brand or other proprietary right of any person living or deceased (including but not limited to rights of privacy or publicity or portrayal in a false light) or entity, sexual in nature, or is otherwise objectionable, will not be considered to be posted on the Website or Twitter and may be disqualified from the Giveaway. Sponsor reserves the right to remove from Twitter or the Website content that they deem objectionable, including inappropriate entries or any entries containing content not owned by entrant, including but not limited to, references to copyrighted or trademarked material from either website in their sole discretion. Limit one (1) entry per person/email address per method of entry per day. Limit two (2) total entries (one per method) per person/email address per day [one (1) Facebook entry and one (1) Twitter entry]. All entries must be complete to be eligible. All entries shall become property of the Sponsor.
2. ELIGIBILITY: Persons nominating must be legal residents of the 48 continental United States and D.C., who are 18 years of age and older as of date of entry. Small Businesses must be located within the 48 continental United States and D.C. Employees of Sponsor, prize suppliers and their subsidiaries, Don Jagoda Associates, Inc. (“Administrator”), and each of their respective parents, subsidiaries, divisions, affiliates, advertising and promotion agencies and the immediate family members of their employees or those residing in the same household are not eligible to nominate or win. Void where prohibited by law and subject to all federal, state and local laws. Certain types of businesses are ineligible, including but not limited, to: adult entertainment; gambling; liquor sales; firearms/weapons sales; businesses competing with Staples including, but not limited to, technology services, copy and print services, office supplies businesses, facilities supplies and services, office furniture, shipping services, mobile phone sales, any other business that Staples the Office Superstore, LLC (“Sponsor”) deems competitive; any illegal business; or national brands (“Small Business”). Sponsor also reserves the right to disqualify any business other than those listed above, in its sole discretion.
3. RANDOM DRAWING: There will be 50 total winners selected in a random drawing on or about May 29, 2012 from among all eligible entries received throughout the Giveaway Period. Drawing will be conducted by Administrator. The decisions of the Administrator will be final and binding on all matters related to the Giveaway. Winners (Small Businesses nominated on winning entries) will be notified by phone and/or email. Odds of winning a prize depend on the total number of eligible entries received throughout the Giveaway Period.
4. PRIZES AND APPROXIMATE RETAIL VALUE (“ARV”): Fifty (50) Prizes of a $100 Staples Gift Card will be awarded. The Small Business nominated on each winning entry will receive the prize. Prize will not be awarded to the entrant. Prize cannot be substituted, assigned or transferred by winning Small Businesses. Small Businesses are solely responsible for all applicable taxes (and any usage, connection charges or internet access needed) in connection with prize. Sponsor reserves the right to substitute a prize of comparable value for the original prize in the event of prize unavailability. Prizes are not redeemable for cash. Gift cards are subject to restrictions and an expiration date may apply.
5. GENERAL RULES: Winning Small Businesses will be contacted by phone by the Administrator and will be required to provide a valid US mailing address prior to prize fulfillment. In the event a Twitter entry is selected as a winning entry, entrant will first be notified by direct message (“DM”) on Twitter, and must respond within 24 hours of notification attempt, or prize for nominated Small Business will be forfeited and an alternate winner may be selected. Twitter entrant will be required to provide phone number for the Small Business nominated in his/her Tweet or prize for nominated Small Business will be forfeited and an alternate winner may be selected. If a winning Small Business is not reachable via the phone number or if any prize notification is returned as undeliverable, then prize will be forfeited and an alternate winner may be selected. All applicable federal, state and local taxes for any prize are the sole responsibility of the winning Small Business. By submitting an entry or Tweet, you hereby grant the Sponsor and each of their respective affiliates, subsidiaries, and assigns the irrevocable, perpetual, worldwide right to use, reproduce, edit, market, store, distribute, have distributed, reproduce, re-arrange, change, add to or delete from, translate, adapt or otherwise revise and/or alter the entry or Tweet, publicly and privately display, communicate, publicly and privately perform, transmit, have transmitted, create derivative works based upon, and promote the entry or Tweet, for editorial, commercial, promotional and all other purposes in any and all media now known or hereafter devised, worldwide in perpetuity without compensation, permission or notification. Acceptance of a prize constitutes permission to the Sponsor and its agencies to use entrants’ names, winning businesses’ names, biographical information, pictures/portraits, entries, Tweets, likenesses and/or voices, for purposes of advertising and trade without further compensation, unless prohibited by law. Each entrant and winning Small Business assumes all liability for any injury or damage caused, or claimed to be caused, by participation in this Giveaway or use or redemption of a prize. By participating in this Giveaway, entrants agree to be bound by these Official Rules and the decisions of the Sponsor which are final. Prizes are nontransferable and no substitution is allowed except by the Sponsor, who reserves the right to award a prize of equal or greater value if an advertised prize is unavailable.
Each entrant and winning Small Business indemnifies, releases and holds harmless the Sponsor, Facebook, Administrator and their subsidiaries, affiliates, directors, officers, employees, agents and all others associated with the development and execution of this Giveaway from any and all liability for damages, losses or injury, damages or causes of action (however named or described) resulting or arising from participation in the Giveaway or acceptance or use of a prize, as applicable. If for any reason the Giveaway is not capable of running as planned, including due to bugs, tampering, unauthorized telephone intervention, fraud, technical failure, human error or any other causes beyond the control of Sponsor that corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Giveaway, Sponsor reserves the right in its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the entire or portions of the Giveaway and determine the winners in a random drawing from among all eligible entries received prior to such cancellation. Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entry. Sponsor is not responsible for: (a) incorrect or inaccurate transcription of entry information or late, lost, illegible, mutilated, altered, delayed, received through impermissible or illegitimate channels or postage-due mail, all of which will be disqualified; (b) technical failures of any kind, including but not limited to the malfunctioning of any telephone, computer online systems, computer equipment, website, server provider, network, hardware or software; (c) the unavailability or inaccessibility of any website or service; (d) unauthorized intervention in any part of the entry process or this Giveaway; or (e) printing, typographical, electronic, human or other errors which may occur in the offer or administration of this Giveaway or the processing of entries. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE GIVEAWAY MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW AND TO DISQUALIFY SUCH ENTRANT FROM THE GIVEAWAY. Commonwealth of Massachusetts courts (state and federal) shall have sole jurisdiction over any controversies regarding the Giveaway and the laws of the Commonwealth of Massachusetts and the United States of America shall govern the same. Each entrant waives any and all objections to jurisdiction and hereby irrevocably submits to the venue of the courts within the Commonwealth of Massachusetts. Except where prohibited by law, any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Giveaway but in no event attorneys' and/or experts’ fees; and prize winners hereby waive all rights to claim punitive, incidental and consequential damages and any other damages (including attorneys’ fees), other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. Prize winners acknowledge that no other party nor any agent or attorney of any other party has made any promise, representation or warranty whatsoever, express or implied, not contained herein concerning the subject matter hereof, to induce the prize winner to execute any document and prize winner acknowledges that they have not executed any document in reliance on any such promise, representation or warranty not contained herein. Any waiver by the Sponsor and its affiliates of any term of any document in a particular instance shall not be a waiver of such term for the future. Winning Small Businesses agree that the invalidity or enforceability of any part of any Giveaway related document shall in no way affect the validity or enforceability of any of the remainder of that document.
6. WINNERS LIST: For a copy of the winners’ list, send a self-addressed stamped envelope postmarked by June 29, 2012 to: Staples Small Business Week Giveaway Winners List, 100 Marcus Drive, Dept. MV, Melville, NY 11747. Residents of Vermont may omit return postage.
