By accessing and/or participating in this program, you agree to the following Staples Plus Membership Terms and Conditions (“Terms”) that govern Staples Plus Membership program (“Program”) and to all terms incorporated herein by reference. These Terms are between you and Staples, located at 500 Staples Drive in Framingham, Massachusetts, and govern our respective rights and obligations. These Terms do not alter in any way the terms or conditions of any other agreement you may have with Staples (“Staples,” “we,” “our” or “us”) for other products or services. Staples’ primary Terms & Conditions (“Staples Terms and Conditions”) are incorporated herein, and if there is a conflict between the Staples Terms and Conditions and these Staples Plus Membership Terms and Conditions, these Staples Plus Membership Terms and Conditions will control. Our U.S. Privacy Policy and the accompanying California Privacy Notice are incorporated into these Terms and also govern your participation in Staples Plus Membership program. Please read each of these documents carefully to understand how Staples collects, uses and discloses information about customers, how to update or change your personal information and how we communicate with you. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT PARTICIPATE IN STAPLES PLUS MEMBERSHIP PROGRAM.
Staples Plus Membership is a program through which individuals (“Members” or, individually, a “Member” or “you”) pay a Membership Fee (defined below) to receive certain benefits.
You agree that we may provide updates, notices, disclosures and amendments to these Terms and other information relating to Staples Plus Membership program by email, by regular mail, or by electronic means, including posting such information and materials online at https://www.staples.com/hc.
1. Eligibility and Membership Fee.
Eligibility
The Program is available to existing Members who are legal residents of the fifty (50) United States and the District of Columbia and eighteen (18) years old or the age of majority at the time of entry. The Program is not targeted towards, nor intended for use by, anyone under the age of eighteen (18). Resellers and remanufacturers that purchase goods with the intention of selling the goods to a third party are not eligible to participate in the Program. The Program is void where prohibited.
Membership Fee
The fee for membership in the Program is $49 (the "Membership Fee") for a one-year membership (a "Subscription Period"), which must be paid each year in advance. Taxes may apply on the Membership Fee. Your membership will automatically renew for an additional one year period at the end of each Subscription Period, and we will send you a reminder notice via email at least 30 days before the expiration date of your current Subscription Period. You authorize us to collect the Membership Fee (and any taxes) using any credit card or billing account we have on record for you. If that card is no longer available (e.g., if it has expired), we will bill any other card that you have saved in your Staples.com account. You can cancel your membership, change your shipping & billing addresses, and/or preferred payment method at any time by logging into your Staples account and clicking on "My Staples Plus Membership" under “Account” or contacting Customer Service by email at RewardsPlus@Staples.com. Staples reserves the right to terminate your membership immediately and without notice if you fail to pay the Membership Fee when due.
2. Benefits. During each Subscription Period, Members in the Program will receive the following benefits:
- Enrollment in Staples Easy Rewards: Members will receive all the benefits offered under the Easy Rewards program, unless otherwise stated herein. Easy Rewards program terms and conditions apply, for full program details visit staples.com/easy. Easy Rewards points cannot be used to pay the Membership Fee.
- Members will receive twenty (20) Staples Easy Rewards points per $1 spent on qualifying ink and toner purchases.
- Members may recycle up to twenty (20) ink or toner cartridges, purchased at any U.S. retail store or staples.com, per month and receive four hundred (400) Staples Easy Rewards points per recycled cartridge. Recycling in store, the Member must: (1) be physically present at the store when the cartridges are turned in for recycling, and (2) identify their Staples Plus Membership number. Recycling online, the Member must log in to their Staples account to gain access to ink and toner recycling. Points earned for qualifying cartridges recycled online may take up to 60 business days to be issued. Staples will accept additional cartridges for recycling, but points will only be issued for up to the monthly recycling limit.
- $37.99 Case Paper: Members will receive Staples® Multiuse Copy Paper, 20 Lb., 94 Bright, 8 1/2" x 11", White, 8-Ream Case (SKU 1149611) for $37.99 on staples.com, on the Staples mobile application, or when ordering by phone at (800) 333-3330. Item not available in stores. Members may purchase up to 3 units per calendar month, and will pay regular price for any quantity purchased beyond that in the same month.
- Custom Pick Discounts: Each Member may select up to 5 eligible items (the "Selected Items") and receive the lowest price compared to Competitors (defined below) on staples.com, on the Staples mobile application, in Staples U.S. stores, and by phone at (800) 333-3330 during the Subscription Period. Members may purchase up to 20 units per calendar month of their Selected Items at the discounted price, and will pay regular price for any quantity purchased beyond that in the same month. Staples reserves the right to change the eligible product list at any time. The availability and selection of Selected Items may vary between staples.com, the Staples mobile application, Staples U.S. stores, and when purchasing by phone, and Staples reserves the right to make product substitutions based upon Selected Items being out of stock and/or discontinued. Price comparison is based on Selected Items that are sold and shipped directly by Amazon.com, and sold by Office Depot, Walmart, Best Buy, CDW, Costco, Grainger, New Egg, Sam’s Club, Target, Uline, Wayfair, WB Mason, and Zoro (“Competitors”). In the event a Member finds the Selected Item for a lower price from a Competitor, Staples will price match the Selected Item. Staples will not price match Competitors' or Staples local or special events (e.g., grand opening, anniversary, clearance, timed sales or liquidation sales, "Black Friday" or "Cyber Monday" sales). Pricing for Selected Items is subject to change at any time based on the market price of the Selected Items. Members may change a Selected Item after it has been selected and active on the Member’s account for ninety (90) days.
- Free Delivery: Free delivery is available for eligible items purchased on staples.com, on the Staples mobile application, or by phone at (800) 333-3330. Handling fees may apply for select items. Other exclusions apply. Staples Shipping & Delivery policies apply.
- Business Exclusive Pricing: Members will receive business exclusive pricing on eligible items purchased on staples.com. To receive business exclusive pricing, Member must be logged into staples.com with a valid Staples Plus Membership number. Business Exclusive Pricing will be reflected in cart for all eligible purchases. When Staples offers instant savings, product specific rebates, or certain product specific coupons for an item with business executive pricing, Members will receive the promotional price or the business exclusive pricing, whichever is lower. Any coupon that states that it is applicable to regular-priced items only may not be combined with Member’s business exclusive pricing.
Members must identify their Staples Plus Membership number at the time of purchase to receive the benefits under the Program.
3. Cancellation. Members may cancel their Program membership any time by contacting Customer Service by email at RewardsPlus@Staples.com or by logging into their Staples account and clicking on "My Staples Plus Membership" under “Account”. If the membership is cancelled within the first 30 days, the Member will receive a full refund. After the initial 30 days, Staples will refund a pro rated portion to the original method of payment of the prepaid Membership Fee corresponding to the unused Subscription Period. Refunds will be issued within 3-5 business days after Staples receipt of cancellation request, and the Member should expect to receive the refund back to the original method of payment within 3-5 business days after issuance. If Staples is unable to issue the refund to the original method of payment, Member will receive a check for the refund amount within thirty (30) days after Staples receipt of cancellation request.
Upon cancellation of Program membership, Member will continue to be a member of the Staples Easy Rewards program. Members may cancel their membership in the Staples Easy Rewards Program at any time by contacting Customer Service by email at RewardsPlus@Staples.com.
4. Program Participation Termination. Staples reserves the right to terminate a Member's participation in the Program for any reason and refund the Membership Fee on a pro-rata basis. Abuse of the Program, including failure to follow or any attempts to circumvent these Terms, or other unlawful or improper conduct as determined by Staples in its sole discretion, is strictly forbidden, and may result in cancellation of your membership without notice and without a refund of the Membership Fee. Staple’s failure to enforce strict compliance with these Terms will in no way constitute a waiver of any rights.
Staples shall be the sole arbiter in cases of suspected abuse or improper conduct, and any decision it makes relating to termination of a Member’s participation in the Program, shall be final and binding.
5. General Terms and Conditions.
Member’s Account
Staples’ decision on any aspect of a Member’s account, membership status, and any aspect of the Program or a particular Member’s participation in the Program shall be final.
No Cash Value or Transferability
Benefits issued under the Program do not constitute property, do not entitle Member to a vested right or interest and have no cash value. As such, benefits are not redeemable for cash, transferable or assignable for any reason, and are not transferable upon death, as part of a domestic relations matter or otherwise by operation of law.
Unless otherwise permitted or agreed to by Staples in its sole discretion, benefits under this Program cannot be combined with any other coupons, offer or program.
Program Modifications
Staples reserves the right to modify, revise or cancel this Program, the Terms or any part of the Program without prior notice.
In the event of a change in control or corporate reorganization, Staples may assign or transfer, in whole or in part, this Program and the rights and/or obligations under the Staples Plus Membership Terms and Conditions to any affiliate, parent, or subsidiary, or to any third party that has acquired control of the business or assets of Staples or any such Staples affiliate, parent, or subsidiary.
Notice of Financial Incentives
In connection with Staples Plus Membership program, we may offer financial incentives and/or price or service differences (“Incentives”) to Members as further described in these Terms and in exchange for our use of your personal information.
To offer these Incentives, we must track the personal information you provide when you sign up for or engage in benefits, redemption activity and engagement with Staples as described in these Terms (“Staples Plus Membership Data”).
The value of Staples Plus Membership Data is determined by considering, without limitation, the additional spending of Members as compared with individuals who are not yet enrolled in the Program, and any improvements we can make to our products, services, and customer experiences based on aggregating information obtained through the Program. The value of Staples Plus Membership Data is reasonably related to the costs associated with offering the Incentives. You can cancel your membership in the Program at any time as set forth in Section 3 (Cancellation).
Member’s Personal Information
The collection, use and disclosure of Members’ personal information is subject to Staples’ Privacy Notices. Choice of Law
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws rules. Any Member’s legal action against Staples relating to the Program may only be filed in the state and federal courts of Suffolk County, Massachusetts. If any provision of these Terms is found to be invalid or unenforceable to any extent, then the invalid portion shall be deemed conformed to the minimum requirements of law to the extent possible. In addition, all other provisions of these Terms shall not be affected and shall continue to be valid and enforceable to the fullest extent permitted by law.
Entire Agreement
These Terms (including any additional terms or policies incorporated by reference) constitute the entire agreement of the parties with respect to the subject matter hereof and supersede all previous written or oral agreements with respect to the Program.
DISCLAIMER
The Staples Parties (defined below) are not responsible for any printing or computer error, omission, interruption, irregularity, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alteration of Program materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or for inaccurate transmission of Program information due to technical problems or traffic congestion on the Internet, at any website or any combination thereof. In the event that online access is temporarily corrupted and suspended, notice of such will be provided on staples.com or in the Staples mobile application, if possible.
INDEMNITY/LIMITATION OF LIABILITY
By participating in the Program, each Member accepts all responsibility for, and hereby releases and agrees to indemnify Staples and its affiliates, and their respective officers, directors, employees, agents, successors, distributors, and third parties providing information or services on staples.com (collectively, the “Staples Parties”), for any and all claims, damages, losses, liabilities and causes of action (including expenses and attorneys’ fees) incurred by them arising out of or relating to: (a) their breach or alleged breach of these Terms, or (b) actions taken by them and/or their participation in the Program. Member agrees to cooperate as fully as reasonably required in the defense of any claim. Staples reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by Member.
UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL ANY OF THE STAPLES PARTIES BE LIABLE TO YOU FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR OTHER INDIRECT DAMAGES ARISING OUT OF, RELATING TO, OR IN ANY WAY CONNECTED WITH PARTICIPATION IN THE PROGRAM OR ANY PURCHASED ITEM, EVEN IF ANY OR ALL OF THE FOREGOING OR ANY OF THEIR AUTHORIZED REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS. BY PARTICIPATING IN THE PROGRAM, A MEMBER WAIVES ANY AND ALL RIGHTS TO BRING ANY CLAIM OR ACTION ARISING OUT OF, RELATED TO, OR IN ANY WAY CONNECTED WITH SUCH MATTERS IN ANY FORUM BEYOND ONE (1) YEAR AFTER THE FIRST OCCURRENCE OF THE KIND OF ACT, EVENT, CONDITION OR OMISSION UPON WHICH THE CLAIM OR ACTION IS BASED.
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, IN NO EVENT SHALL THE CUMULATIVE LIABILITY OF ALL OF THE STAPLES PARTIES EXCEED THE LAST MEMBERSHIP FEE PAID BY YOU.
